Notice seeking approval of members of Company to pass the following Resolutions:
1) Issue of Compulsorily Convertible Debentures (CCD's III) under Section 81(1A) of the Companies Act, 1956 and in accordance with the SEBI (Issue of Shares and Disclosure Requirements) Regulations, 2009
2) Issue of Non Cumulative Compulsorily Convertible Preference Shares (NCCPs-IV) under Section 81(1A) of the Companies Act, 1956 and in accordance with the SEBI (Issue of Shares and Disclosure Requirements) Regulations, 2009
3) Alteration of Articles of Association enabling buyback of shares under Section 31 of the Companies Act, 1956.
As per the applicable mandatory Rules, Company has appointed Prashant Sharma and Associates , Practising Company Secretaries as a scrutinizer for the said postal ballot. Members are requested to send their replies by sending the signed scan copy of the attached postal ballot form at the following Email ID's :

Kindly note that last date to receive the reply from members is 23rd March, 2012. Any Reply received after 23rd March, 2012 will be assumed to have not been received. Members are requested to consider the above said resolutions and provide their replies at the above mentioned email Id's at an earliest.
