Prism Informatics Ltd has informed BSE that the Board of Directors of the Company at its meeting held on September 01, 2010, inter alia, as follows:

1. Mr. Mohan Natarajan has been appointed as Additional Director of the Company w.e.f. September 01, 2010.

2. Subject to the approval of the equity shareholders and holders of 10% Compulsorily Convertible Debenture (CCDs), Conversion price is proposed to be the price as per Regulation 76(1) of the SEBI (ICDR) Regulations, 2009 or Rs. 400 whichever is higher and to pre pone the conversion date of CCDs into equity shares from October 26, 2011 to October 05, 2010 and the corresponding relevant date from September 26, 2011 to September 04, 2010.

3. Postal ballot process shall be undertaken for seeking the approval of equity shares holders and CCD holders for the variation of rights due to changed in conversion terms of CCDs and to pre pone the conversion date of CCDs into equity shares from October 26, 2011 to October 05, 2010 and the corresponding relevant date from September 26, 2011 to September 04, 2010.
